These terms govern access to and use of the PropCheckr platform, provided by Feuillet & Viana, Lda, for real-estate and related professionals in Portugal. By creating an account or using the service, you accept these terms.
1. Purpose and nature of the service
PropCheckr is a B2B SaaS application and a document drafting and organisation tool: it helps structure property files (CPCV, DPA, leases, powers of attorney, GDPR, etc.), track document compliance and collaborate as a team.
The service does not constitute personalised legal, tax, land-registry or financial advice and does not replace a lawyer, notary, solicitor, accredited mediator or banking adviser. Generated, assisted or extracted documents must be reviewed, adapted and validated by qualified professionals before any official use, signature or transmission to third parties.
2. Eligibility and account
The service is intended for professionals and organisations (agencies, law firms, finance partners). Account creation may require manual validation by the PropCheckr team.
You are responsible for accurate registration data, credential confidentiality and all actions taken through your account or your organisation’s account.
3. Acceptable use
You agree to use the platform in compliance with Portuguese and EU law, including data protection and professional duties applicable to your sector.
You must not:
- Upload unlawful, defamatory content or content that infringes third-party rights;
- Attempt to access other organisations’ data without authorisation;
- Bypass technical limits, credit quotas or security measures;
- Use the platform for non-professional or abusive purposes.
4. Intellectual property
The platform, brands, interface and proprietary PropCheckr content belong to Feuillet & Viana, Lda or its licensors. Documents and data you upload remain your responsibility and property under your organisation’s contractual terms.
5. Data protection and subprocessors
Feuillet & Viana, Lda acts as a processor (data processor on behalf of another controller) with respect to personal data entered on the Platform by the Client, under the GDPR and Portuguese Law No. 58/2019. The Client remains the controller of its own clients’ data and of parties involved in property transactions.
Personal data processed by the Platform is stored on infrastructure located in the European Union (Frankfurt, via Supabase — AWS).
For automatic extraction of data from identity documents and other AI-assisted features, the Platform uses a third-party service (OpenAI, GPT-4o model) established outside the European Union. This international transfer is covered by the European Commission’s Standard Contractual Clauses. Documents transmitted for this purpose are not used to train models by that provider, under the applicable contractual terms.
The list of active subprocessors (including Supabase, OpenAI, Clerk and Stripe) is available on request at team@propcheckr.com and will be updated whenever there is a material change, with at least 15 days’ prior notice to the Client.
A specific Data Processing Agreement (DPA) may be entered into at the Client’s request, setting out the applicable technical and organisational safeguards.
When your organisation connects Google Drive (Google) or Microsoft OneDrive (Microsoft), document files are stored on the cloud account you choose and configure. PropCheckr does not permanently host those files on its own servers beyond technical transit strictly necessary for the service.
Choice of cloud provider, data location, access rights, backups, retention and document security are exclusively your organisation’s responsibility. Feuillet & Viana, Lda and PropCheckr shall not be liable for loss, corruption, unauthorised disclosure, unavailability or deletion of files stored on those third-party services, or for incidents attributable to Google, Microsoft or your configuration.
6. Confidentiality
Each party undertakes to keep confidential all non-public information exchanged in the context of the contractual relationship or partnership discussions (including usage volumes, commercial terms, shared roadmap and technical configuration data), and not to disclose it to third parties without prior consent, except where required by law. This obligation continues for 2 (two) years after the end of the contractual relationship.
7. AI assistance and limitation of liability
Extraction, analysis, template and generation features (including AI-assisted) provide indicative results. PropCheckr and Feuillet & Viana, Lda do not guarantee the accuracy, completeness, timeliness or legal, tax or land-registry suitability of produced content.
Feuillet & Viana, Lda, PropCheckr and their directors, partners, employees and contractors shall not be liable for errors, omissions, inaccuracies or inadequacies in documents generated, assisted or imported via the platform, or for any resulting prejudice (including financial loss, lost profits, reputational damage, disputes with clients, partners or authorities, or failure of a transaction).
You remain solely responsible for entered content, drafting choices, verification of outputs and their consequences before any use, publication, signature or archiving.
To the extent permitted by law, the liability of Feuillet & Viana, Lda and PropCheckr is limited to foreseeable direct damage and amounts paid for the service in the 12 months before the event, excluding lost profits or indirect damage.
8. Service level (SLA)
PropCheckr uses its best efforts to ensure monthly Platform availability of 99%, excluding scheduled maintenance windows announced at least 48 hours in advance.
Critical incidents (total unavailability) are acknowledged within 4 business hours; non-critical incidents, within 1 business day. For large-scale partnerships (networks, dedicated integrations), an enhanced SLA may be agreed in a specific contractual schedule.
9. Suspension and termination
We may suspend or terminate access in case of breach of these terms, fraud, non-payment or legal requirement, with 15 days’ prior notice, except in cases of serious breach or security risk, where suspension may be immediate.
You may stop using the service at any time, subject to ongoing obligations (e.g. already paid billing period).
Upon termination, the Client has 30 days to export its data in a structured format; thereafter data is permanently deleted, unless a longer legal retention obligation applies.
10. Partnerships, networks and distribution
These terms govern individual use of the Platform by professionals and organisations. Partnerships involving network-wide distribution, integration with third-party systems (including network CRMs), specific commercial terms or use under the partner’s own brand are subject to a dedicated Master Service Agreement, which prevails over these general terms where they conflict.
11. Governing law and jurisdiction
These terms are governed by Portuguese law. For consumer disputes, mandatory consumer protection rules apply; for B2B relationships, courts at Feuillet & Viana, Lda’s registered office have jurisdiction unless mandatory law provides otherwise.
12. Changes to the terms
Material changes to these terms are communicated at least 30 days in advance, by email or notification on the Platform. Continued use of the service after that date constitutes acceptance of the new terms; the Client may terminate without penalty if it does not agree.
